I learned the secret to property development from an investor in my first startup. He was a well-known developer with offices in Mayfair - we spent a considerable amount of time in Claridge’s Bar. I miss those days.

His model for out-of-town shopping centres was deceptively simple. Find a location where M&S wanted a footprint, option the land, and get them to sign a 25-year lease. He never wasted time talking to the boutique coffee shops or the local dry cleaners first. He got his anchor.

Once M&S was locked in, everything else hung off that single commitment. The smaller shops knew that if the anchor was there, the footfall was guaranteed. The financing came easily. The other tenants moved fast. M&S did the heavy lifting on the location decision and the foot traffic forecast — so everyone else could outsource that work and follow on.

Without M&S, the development is just an empty field outside Taunton.

In venture, the lead investor is your M&S. They set the valuation, run the diligence, and provide the social proof that tells every follow-on investor the hard work has been done. Without them, you are asking boutique coffee shops to commit to a development with no anchor.

Got to say I miss visiting a video rental store. As a kid, Friday night was a treat. Got me thinking about the battle between VHS and Betamax. My family chose the wrong machine, turns out. Even though Betamax was the better technology.

VHS won the 1970s-80s format war against Betamax despite Betamax offering superior picture and sound quality. VHS’s open licensing allowed more manufacturers to produce cheaper, widely available machines, whereas Sony’s exclusive control over Beta restricted its market share.

The better product lost. Not because it was technically inferior - it wasn’t. It lost the distribution battle. More manufacturers, more affordable machines, more rental stores stocking VHS tapes. The inferior product won because it owned the channel.

Most founders are building Betamax. They are obsessed with making a better product. They are not QUESTIONING who controls the channel through which their customers discover and adopt new tools, and how they turn that to their advantage/

Every supermarket in the country does the same thing at Christmas.

They put the Brussels sprouts and prosecco at the end of the aisle at prices that make no sense. Below cost. Sometimes significantly below. The margin is terrible. I’m sure their accountants wince.

And it works every time.

Because the supermarket is not just selling Brussels sprouts or Prosecco. They know exactly what the average customer spends once they are through the door. They know the margin on the turkey, the cheese board, and the three bottles of wine that were not on the list. They know the loss leader pays for itself before the customer reaches the checkout.

The loss leader is not a mistake. It is a strategy. And the difference between a strategy and a mistake is knowing the maths.

But sometimes when founders replicate this model, they don’t know the maths. They know the queue around the block. They call it market share. They have not yet asked how long they can sell tenners for eight quid.

On a recent trip back to my hometown of Cape Town, I was invited out fishing. I said yes immediately. I am not suited to committees. I once lasted exactly four months on the committee of my local rugby club, and even that felt like a life sentence.

When I was nineteen, I travelled the world. At some point, I ended up in Surfers Paradise, Australia, broke enough to take the only job that would have me immediately.

Timeshare sales.

I was “selling” a free lunch - literally! A lovely buffet meal…hosted by the most aggressive salespeople I have ever encountered before or since. Simple model. Get ‘walks’ as they called it. The morning meetings were part motivational speech, part threat from the Glengarry Glen Ross Boys. Tina Turner’s “You’re Simply the Best” played at volume, chants - stuff from the David Brent management handbook.

I averaged one walk a day. On a good day. Which was ‘crap mate’ as I was reminded daily.

He was simply relentless. Every no got him closer to a yes, and he never confused the two.

I have started seven businesses. Four successful exits. Three failures.

I was setting up Stripe for this Substack a few weeks ago. I have been using it for years. It is so embedded in how I work that I barely think about it anymore. Which is exactly the point.

The founders, brothers Patrick and John Collison, were not bankers. They were not payment experts. I found my old Donkey Kong game the other week. The flip one from the eighties, buried in a box at the back of the garage under a broken tennis racket and a pair of rollerblades I have no memory of owning.

Time kills all deals.

I see over 4,000 decks a year and speak to nearly 60 founders a month. And the pattern I see most consistently is not founders who can’t find interested investors. It’s the founders who find them and then watch the commitment evaporate while the paperwork drags on.

Most try to manufacture urgency with an arbitrary close date. We are closing this round on the 31st. It rarely works. Investors have seen it a hundred times, and it does not move them. What moves them is a founder who has made it structurally easy and financially attractive to commit today rather than next month.

What I rarely see are founders using all the tools at their disposal in a succinct, deliberate way to convert a soft yes into cash in the bank. That gap, between the verbal commitment and the transfer landing, is where good businesses run out of road.

My second ever business was with two partners - we split it three ways. Felt fair at the time - everyone brought something to the table, was committed, and dividing it equally felt like the right thing to do.

Within nine months, I knew I had made a mistake. One of the partners was not pulling their weight. But their slice was identical to mine, and there was nothing I could do about it. We had no vesting schedule. No cliff. No mechanism to claw back what they had not earned. When they eventually left, they not only got 33% of everything we had built, but also 33% of the future.

Four years with a one-year cliff is the standard - nothing vests in the first year, then the remainder vests monthly over the following three. Early-stage investing is an uncertain voyage.

The ship might be brilliant. The captain and crew may be exceptional. The destination might be extraordinary. But the waters are rough, the charts are incomplete, and there is always a chance you’ll hit a hidden iceberg. The truth is that most ships don’t make it all the way.

The UK government knows this. And so they did something unusual. They decided that if the country wanted entrepreneurs to take bold voyages, to build the businesses that create jobs, generate tax revenues, and keep Britain competitive, they needed to give the passengers a lifejacket.

That lifejacket is SEIS and EIS.

If you invest in an early-stage UK business and the ship goes down, the government hands back a significant portion of what you lost. The voyage was still risky. The loss still stings. But the lifejacket means you do not drown. And if the ship makes it, every penny of the profit is completely tax-free.

Most founders treat SEIS and EIS as a boring tax thing. Something for an accountant to sort out later. To a UK angel investor, it is the lifejacket that makes the ship worth boarding. And if you can’t answer basic questions about it in the meeting, you will lose investors who were otherwise ready to come aboard.

Which means SEIS and EIS are not a nice-to-have for your raise. If your business doesn’t qualify, you need to know before you start. If it does qualify, you need to be able to explain it confidently before anyone asks.

I was recently waiting for an Uber outside Caprice in Camps Bay on a Sunday night. If you have ever been, you’ll know that the queue looks like the front row at a fashion show. Directly in front of me was a group of men who looked like they had been engineered in a lab - linen suits, perfectly coiffed hair, and shoes that cost more than my first car.

The doorman looked at them with the cold indifference of a man who has seen it all before and told them to wait.

Ten seconds later, two guys my age strolled up wearing flip-flops and faded Hawaiian shirts that looked like they had been stolen from the set of Magnum PI. They didn’t even slow down. The doorman broke into a grin, unclipped the velvet rope, and ushered them to the best table in the house.

It wasn’t about the suits. It was about the fact that those guys were already in the system. Known quantities. The pattern.

Fundraising works exactly the same way. There is a direct correlation between founders with strong networks and successful raises. That is not a conspiracy. It is just how trust gets transferred in a world where investors are making bets on people they have limited time to evaluate.

If that network is not yours, you need to find your own way around the rope. And moaning about the unfairness of it is not the way around it.

I speak to too many founders who lead with their underrepresented status as if it explains the rejection. Female founders are underrepresented. Minority founders do not receive proportional funding. These things are true, and they matter. But they are not a strategy. And spending energy documenting the injustice is energy not spent forcing your way into the 3%.

No person is one thing unless they choose to be. A female founder is also a problem-solver, a salesperson, a domain expert, and a first-customer closer. A minority founder is also a networker, a storyteller, a traction builder. The founders who make it into that top percentile are the ones who lead with everything they are, not what the system says they are not.

Life is not fair. The fundraising ecosystem is not fair. It probably will not become meaningfully fairer in the timescale you are working with. Great founders force their way in anyway.

I started my first business in 2001. Which means, in one form or another, I have been in a fundraising cycle for the best part of two decades.

The landscape has changed considerably in that time. Founders come from every background imaginable now - different ages, different circumstances, different starting points. The ecosystem is more diverse, more accessible, and considerably more understanding than it was when I started. That is genuinely good news.

But the realities haven’t changed at all.

The raise still takes longer than you planned. The bootstrap phase still stretches further than you expected. The month you thought would be your last on reduced salary becomes six months, then twelve. And life, the mortgage, the school run, the body that needs sleep, the partner who needs more than a distracted half-conversation over dinner, does not pause for any of it.

My first-ever mentor warned me early. You can’t hustle life.

The first is physical. Most founders treat their bodies like a Ferrari filled with chip fat, driven at the red line for 20 hours a day. They expect to make world-changing strategic decisions while fuelled by four hours of sleep, three double espressos, and whatever can be eaten over a keyboard at eleven at night. Burnout is not a badge of honour. It is proof of a negligent mechanic. Your judgment is one of the most important things investors are buying; if it is compromised, it’s not a great signal.

The second is personal. For years, I acted like a ghost. If I had to leave a call for the school run, I claimed a strategic off-site. If a toddler screamed in the background of a Zoom call, I blamed a noisy neighbour. I was terrified that if an investor knew I was a human being with a family, they would think I wasn’t all in. I was wrong. Investors don’t want a robot. They want a leader who can navigate mayhem. Hiding your family doesn’t make you look more focused. It makes you look like you are one spilt glass of milk away from an existential crisis.

The third is financial. The raise will take at least 6 months. Often 9 to 12 months. During that time, your salary is likely below market, your personal savings are depleting, and the stress of the business is compounded by watching your personal runway shrink alongside the business’s. Model both before you start. Not because the numbers will be comfortable, they probably won’t. But knowing the reality is always better than being ambushed by it.

The final day of the process involved a 314-email exchange between two heavyweight magic circle firms - a Wimbledon-style rally of legal correspondence that went back and forth for hours. Multi-tiered holding structures, founder service agreements, and documentation running into the tens of thousands of pages, the kind of thing you would expect to see on an episode of Suits.

I tell you this not to intimidate. Rather to make a point.

Every one of those tens of thousands of pages started somewhere. And what they started from were the same basic documents that every founder needs in place before they raise a penny.

They are entirely predictable requirements that every investor will check and that every founder can have ready in advance. The only reason not to have them in place before you raise is that nobody told you to. Consider yourself told.
